Individual entrepreneur Margarita Sergeevna Chynonova (hereinafter referred to as the \"Contractor\"), registered and operating in accordance with\nthe legislation of Ukraine, in accordance with Articles 633 and 641 of the Civil Code of Ukraine, to an unlimited number of individuals, offers to conclude a valid Service Agreement (hereinafter referred to as the \"Agreement\") on the terms and conditions set out below: <\/div>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t
1. TERMS AND GENERAL PROVISIONS<\/div>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

1.1. Services \u2014 design, sale of equipment, installation and maintenance of solar stations provided by the Contractor in accordance with
the procedure and on the terms specified in the current Agreement.<\/p>

1.2. A public offer is a proposal by the Contractor (posted on the Contractor’s Website) addressed to an unlimited number of individuals in accordance with
Ukrainian law, which concludes a valid Agreement on specified terms.<\/p>

1.3. The Contractor’s website is a web page on the Internet at https:\/\/onlysolar.in.ua\/, which is the official source of information for Users
about the Contractor and the services provided to them.<\/p>

1.4. Acceptance \u2014 full, unconditional and unreserved acceptance by the User of the terms and conditions of the Public Offer of this Agreement.<\/p>

1.5. User \u2014 a natural person who has reached the age of 18 and has completed the Acceptance of the Contractor’s Public Offer set forth in the current Agreement and paid for the goods and services.<\/p>

1.6. The Parties \u2014 the Contractor and the User.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

2. SUBJECT OF THE AGREEMENT<\/div>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t
1. TERMS AND GENERAL PROVISIONS<\/div>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

2.1. The Contractor undertakes to provide the User with goods and services in the field of solar power plant construction, namely to design, select and sell equipment for solar power plants, install, commission and perform maintenance on a paid basis, in accordance with the terms of this Agreement and the Construction Agreements. The User undertakes to accept and ensure payment for such Services.<\/p>

2.2. The User shall pay the Contractor for the cost of goods and services purchased by them.<\/p>

2.3. The Parties agreed that the detailed content of goods and services shall be specified by the Parties in the Agreement on the construction of a solar power plant.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t
3. PROCEDURE FOR TRANSFER AND ACCEPTANCE OF WORKS<\/div>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

3.1. The Contractor undertakes to perform the work no later than 14 (fourteen) working days from the date of receipt of funds
from the Customer under the terms of clause 2.2.<\/p>

3.2. In the event of impossibility or real threat of violation of the deadline for the performance of work due to the fault or other circumstances arising from the Contractor, the latter shall immediately notify the Customer of this fact, but no later than 5 (five) working days before the date of commencement of work.<\/p>

3.3. Upon completion of the work, the Contractor shall submit to the Customer an Acceptance Certificate for the work performed (hereinafter referred to as the “Certificate”).<\/p>

3.4. Within three days of receiving the Act, the Customer shall sign and send the documents to the Contractor, or provide a reasoned refusal to accept the completed work in writing. Within three days of the Contractor receiving the reasoned refusal, the Parties shall hold negotiations and agree on new terms for the completion of the work and conditions for resolving any existing differences.<\/p>

3.5. If the Customer has not signed the Act within 3 days of receiving it and has not provided a reasoned refusal to accept the completed work,
the Contractor shall sign the Act unilaterally, and no claims from the Customer shall be accepted.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t
4. RESPONSIBILITY OF THE PARTIES<\/div>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

4.1. In the event of failure to perform or improper performance of their obligations under the Agreement, the Parties shall be liable as provided for by law and this Agreement.<\/p>

4.2. In the event of failure to perform the work or incomplete performance within the time limits specified in this Agreement, the Contractor shall pay the Customer a penalty of 0.1% of the amount of unperformed work for each day of delay, but not more than double the NBU discount rate in effect at the time of the respective delay.<\/p>

4.3. For failure to comply with the payment terms specified in the Agreement, the Customer shall pay the Contractor a penalty of 0.1% of the overdue amount for each day of delay, but not more than double the NBU discount rate in effect at the time of the delay.<\/p>

4.4. In the event of a change in the tax status of one of the Parties to this Agreement, such Party shall be obliged to notify the other Party in writing within three days of the change in its status. Otherwise, the Party that has not notified of the change in its taxpayer status within the specified period shall be fully liable under tax legislation and shall also be obliged to compensate the other Party for all losses incurred by it in connection with the failure to notify or late notification of the change in taxpayer status. <\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

5. FORCE MAJEURE<\/div>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

5.1. Each party shall be exempt from liability for partial or complete failure to fulfil its obligations under the Agreement if such failure was caused by circumstances beyond its control.
Force majeure circumstances include: floods, fires, earthquakes and other similar natural phenomena, as well as wars, military actions, acts and actions of state authorities, and other circumstances beyond the reasonable control of the Parties.<\/p>

5.2. Upon the occurrence of the circumstances specified in paragraph 5.1. circumstances, the party for which they arose is obliged to notify the other party in writing within three days by any available means.<\/p>

5.3. Upon termination of the circumstances specified in clause 5.1, the party for which these circumstances have ceased shall be obliged to notify the other party in writing within three days. The notification shall specify the period during which it is expected that the obligations, the performance of which was interrupted by force majeure circumstances, will be fulfilled. <\/p>

5.4. Failure to notify or untimely notification shall deprive the aggrieved Party of the right to invoke the provisions of paragraph 5.1. circumstances as grounds for exemption from liability for failure to fulfil obligations under this agreement.<\/p>

5.6. In the cases provided for in clause 5.1, the terms of performance of obligations shall be postponed for the period during which the force majeure circumstances and their consequences were in effect. <\/p>

5.7. In cases where the conditions specified in paragraph 5.1. circumstances and\/or their consequences last for more than 6 months, or when such circumstances arise, it becomes clear that they and\/or their consequences will last for more than this period, the Parties shall negotiate as soon as possible to determine acceptable alternative ways of implementing the Agreement and reach a corresponding agreement.<\/p>

5.8. A certificate issued by the relevant state institution shall serve as proper confirmation of the existence of force majeure circumstances.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t
6. WARRANTY OBLIGATIONS<\/div>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

6.1. Warranty obligations for equipment, materials and work are specified in Appendix No. 2 to the Contract for the Performance of Work.<\/p>

6.2 Warranty obligations are valid provided that the Customer complies with the rules for operating the equipment and materials and the warranty conditions specified in the documentation of the equipment and material manufacturers.<\/p>

6.3 Warranty obligations apply only to the work performed and the equipment and materials used for this work and do not include compensation for any losses that may be incurred due to the poor quality of the work, equipment and materials subject to warranty repair.<\/p>

6.4 The Customer shall pay for the dismantling and installation of faulty equipment, transportation to the service centre and transportation costs of the repair team.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

7. TERM OF THE AGREEMENT<\/div>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

7.1. This Agreement shall enter into force upon its signing by both Parties and shall remain in force until the Parties have fulfilled their obligations in full.<\/p>

7.2. The expiry of this Agreement shall not release the Parties from any obligations that remain unfulfilled.<\/p>

7.3. This Agreement may be terminated only by agreement of the Parties, which shall be formalised in a supplementary agreement thereto.<\/p>

7.4. All amendments to this Agreement shall be legally binding if made in writing.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t
8. DISPUTE RESOLUTION<\/div>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

8.1. Any disputes or disagreements arising in connection with this Agreement or relating to its conclusion, amendment, performance, breach, termination or invalidity shall be resolved through negotiation wherever possible.<\/p>

8.2. If the disputes and disagreements specified in clause 8.1 of this agreement cannot be settled through negotiations, they shall be resolved in the commercial courts of Ukraine (in accordance with the current legislation of Ukraine).<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

9. OTHER TERMS AND CONDITIONS<\/div>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

9.1. This Agreement is made in two copies, one for each party, both of which are equally valid.<\/p>

9.2. The parties undertake to notify each other in writing of any changes to their details (payment details, legal address, etc.) within ten days of the date of such changes.<\/p>

9.3. At the time of conclusion of this Agreement, the Customer and the Contractor are income tax payers on the general grounds provided for by the Tax Code of Ukraine.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t","protected":false},"excerpt":{"rendered":"
